Terms of Use of the Forum of the Internet Site of the Israel Coins and Medals Corporation Ltd.  (hereinafter:  the “Terms of Use of the Forum”)

General

1.         These present Terms of Use are designated to regulate the conditions for using and joining  the forum of the internet site of the Israeli Coins and Medals Corporation Ltd. (hereinafter:  the “Forum”).  This Forum is designated to provide various services and information about the Israel Coins and Medals Corporation Ltd.  (hereinafter:  the “Company”), by means of posting messages and asking questions by users of the Forum of the Company as well as by other users of the Forum (hereinafter:  the “Information”) and is administered according to the instructions of the Company and/or anyone on its behalf (hereinafter:  the “Forum’s Administration”).

2.         The provisions of the Terms of use of the Forum equally apply to both genders, and the use of the masculine gender is solely for convenience purposes.

3.         The Company enables you access to the Forum and to the services and uses supplied through it, whether or not you join the Forum’s community and/or communities (hereinafter:  the “Use”), subject to the terms set forth hereinafter.

4.         Each person and/or entity and/or other body or anyone on their behalf who entered the Forum and/or established contact and/or communicated with the Forum, express their consent to the Terms of Use of the Forum, and submit themselves to the provisions thereof (hereinafter:  the “Users”).

5.         You are hereby requested to carefully read the Terms of Use of the Forum prior to using the Forum.  Every Use, participation or contact within the Forum constitutes consent to the provisions of the Terms of Use of the Forum (hereinafter:  the “Terms of Use”).

6.         You hereby declare that you are legally authorized and legally competent by any law to make use of the Forum.

7.         As a condition of Use of the Forum you undertake towards the Forum’s Administration not to make use of the Forum for illegal purposes and/or for any purposes prohibited by the Provisions of the Terms of Use and/or conditions of use of the site and/or by any law.

8.         Inasmuch as the Uses of the Forum shall require registration of the Users, the provisions of the agreement shall apply to the registration to the Forum.

Terms of Use:

9.         The Users of the Forum shall comply with the instructions of the Forum administrator provided in the framework of the Forum and the discussion rooms therein.

10.       The Users of the Forum agree that the Forum’s Administration, at its sole discretion and subject to any law, is entitled to refuse to publish information provided by Users of the Forum and/or to delete information as aforementioned, whether or not such has been published in the Forum, without providing advance notice to the User who provided the abovementioned information, and the Users shall have no claim and/or demand and/or causes of action with that regard.

11.       Any information which shall be provided by the Users of the Forum shall be automatically deleted from the Forum, from time to time, as part of the maintenance process of the Forum and/or in the event the number of messages and/or posts shall be too high so that that the Forum’s data memory system shall not be able to save the messages without disrupting the use of the of the Forum.

12.       The Forum’s Administration reserves itself the right to delete information published on the Forum as well as various messages, at its sole discretion and for any reason whatsoever.

13.       Without derogating from the generality of the mentioned above, the Forum’s Administration and/or anyone on its behalf is entitled to verify information prior to its publication, and to determine, at its sole discretion whether or not to publish the information, and the Users shall have no claim and/or demand and/or cause of action relating thereto.

14.       The Forum’s Administration shall operate by reasonable means in order to avoid publication of information containing personal data of any person and/or corporation and/or other legal entity on the Forum, and shall delete such information upon becoming aware of its publication.  Notwithstanding the abovementioned, the Forum’s Administration recommends its Users to use the utmost care regarding the information provided by them to the Forum and to avoid disclosing personal information on the Forum.

15.       The Forum’s Administration reserves itself the right to prevent the transfer of messages by Users, whether or not the information provided by them has been published on the Forum.

16.       Any information published on the Forum shall be available to all the other Users of the Forum, and to each discussion groups taking place at the Forum.  The Users of the Forum grant hereby their consent that all the information provided in the Forum and published therein shall be available to all the other users of the internet.  Therefore, the Users shall have no claim and/or demand and/or cause of action against the Forum’s Administration for any damage and/or harm to the User caused by third parties who reacted and/or made use of the information provided by the User.

17.       As part of the uses made in the Forum, questions can be sent to the Company regarding the activities of the Company.  The Company shall make many commercial efforts to reply to the questions asked by Users of the Forum, however, it reserves itself the right not to answer certain questions at its sole discretion, and without having to provide reasons thereof, and the Users shall not have any claim and/or demand and/or cause of action regarding thereto.

18.       The Users undertake that the content of the information provided to the Forum shall not include information breaching and/or likely to breach third party rights pursuant to any law,  and/or infringing or breaching and/or likely to infringe or breach any law. Without derogating from the generality of the mentioned above, the Users undertake not to transmit messages and/or questions on the Forum which include:

19.       Illegal information and/or information inciting to commit illegal acts according to the laws of the State of Israel.

20.       Information harming the reputation of the Company.

21.       Information including any material which breaches and/or harms and/or is likely to breach and/or to harm third party proprietary rights.

22.       Information harming the privacy of a third party and/or constituting defamation against third parties.

23.       Any information hurting or likely to hurt the public’s feelings, including information which is pornographic or sexually explicit sexual, and/or which is sexually harassing and/or racist and/or is threatening third parties and/or includes rude language or wording and/or any material which is prohibited to be divulged pursuant to the laws of the State of Israel.

24.       Advertising contrary to the provisions of the Law of Communication (Bezeq and Broadcasts), 5742-1982);

25.         Any information which content constitutes a cause of action for civil claim and/or which infringes upon the laws of the State of Israel.

26.       Any content or information about minors which identifies them, their personal data or address and means of communication with them.

27.       Information and/or files and/or codes which might modify, harm and/or disturb, and/or disrupt the site and/or information provided thereon and/or any the Company’s and/or any third party’s property rights and/or privileges derived from the site, including “Trojan horses”, “viruses”, “worms” etc. or  use of a computer program which might harm anyone as well as information enabling unauthorized access to the site, accounts, computer systems, and databases of the site, or to other networks and computers related to the site by means of executing the abovementioned operations.

28.       Any information which access to it is blocked by means of various codes including passwords and user names, as well as information regarding said codes.

29.       The Forum’s Administration is entitled to remove and/or delete information from the Forum at its sole discretion, and without having to provide notice thereof to the Users, including to block and/or stop and/or limit the Uses by the Users if the Forum’s Administration fears that a User made any use which is likely to cause nuisance to other Users, and/or which constitutes a civil tort or criminal offense, or in a manner giving rise to reasonable suspicion that the User acts in a manner contrary to and/or breaches the terms set forth in these Terms of Use.

30.       The Administration’s Forum is entitled, at all times, to restrict and/or to cease the Use of the site for purposes of maintenance work of the Forum.  The Forum’s Administration reserves itself the right to modify the Uses of the Forum, without prior notice, and the Users shall not have any claim and/or demand and/or cause of action in relation thereto.

31.       The Forum’s Administration reserves itself the right to refuse to grant access to this Forum, or part thereof, to any User, at its sole discretion, and without providing prior notice. Upon the termination of the agreement and/or its cancellation, the User is required to immediately stop making use of the Forum.

32.       The user declares hereby that he bears the full legal liability regarding the content of the information provided by means of him and/or by him and/or by anyone on his behalf in the Forum, and he exempts the Forum’s Administration from any liability for breach of the provisions of any law and/or harm to third party rights and/or breach of third party rights pursuant to any law.

33.       The users agree that the Forum’s Administration shall have the right to make any use of the information provided in the Forum, subject to any law, and at the Forum’s Administration discretion, without obtaining authorization for it from the User who published the message or the information, and he shall have no claim and/or monetary and/or other demand and /or any cause of action.

Intellectual Property:

34.       Any copyright and intellectual property of the site and the Forum – including in its design, and in any program, application, graphic file, trademark, text, medal, coin and jewelry designs, computer code and any other material included therein – are the sole property of the Company and/or of its content providers and/or business partners, as applicable.

35.       No part of the information, program or items shall be copied, distributed, made modifications therein, copied, broadcasted, publicly presented, reproduced, published, and no licenses shall be issued for it, no derivative products shall be produced thereof, nor shall any part of the information, program or items be sold or transmitted to any third party, nor any part of the abovementioned without explicit written prior authorization by the Company.  The Company’s name, the domain name and the trademarks (whether registered or not) of the Company, are the sole property of the Company and inasmuch as they were published on behalf of the advertisers on the site, are the sole  property of those advertisers.  No use shall be made thereof without their prior written consent.

37.       The Forum’s Administration is not liable for loss of information provided by the User of the Forum, whether as a result of a failure of the Forum or for any other reason, and in any event, the users shall have no claim and/or demand and/or cause of action regarding the aforementioned loss.

38.       The Forum’s Administration shall not bear any liability for information provided or published by the Users of the site.

39.       The Forum, including the content and information appearing thereon, are for use ‘as is’, without any obligation on behalf of the Forum’s Administration.  Therefore, the mentioned in the Forum and/or in this present document  does not constitute any representation on behalf of the Company regarding credibility, appropriateness, appropriate timing and level of accuracy of the information, the program, the items, the links and the graphics relating to this present Forum for any purpose whatsoever.  Therefore, there shall be no claim and/or demand and /or cause of action towards the Forum’s Administration for the contextual features, its abilities, limitations or its adaptation to your needs and demands.

40.       In no event shall the Forum’s Administration and/or the Company and/or any of its shareholders, directly or indirectly, and/or the related and/or affiliated and/or subsidiary Company and/or other entities constituting part of the joint enterprise and/or partners and/or other entities, material and joint controlling shareholders and/or any of their shareholders and/or the directors and/or officers of the Company, as defined in the Companies’ Law, 5759 – 1999,   its members of the Board of Director, employees and/or its various suppliers bear any liability for any damages, direct or indirect, punitive, incidental, special or consequential damages, or any other damage of any kind and nature, including, but not limited, to damages for loss of use, loss of data or loss of profits, derived or related in any manner to the use of the Forum and/or its performance, its delay in the use or impossibility to use the Forum, the supply or non supply of services, including data, text, images, video or audio, or any information, program, item, link and related graphics obtained by means of the Forum or deriving by any other means from the use of the Forum, whether based on contracts law and/or torts law, strict liability or anything else, even if the Forum’s Administration shall be aware of the possibility of such damages.  The Forum’s Administration shall not be liable for the mentioned on the Forums sites, in the discussion rooms of the Forum or any information which shall be published on the site by third parties.  If you are not satisfied of any part of the Forum, the only and exclusive remedy available to you is to stop making use of the Forum.

41.       The customary policy of protection of privacy on the site engages the Forum’s Administration and its users, mutatis mutandis.

42.       The use of discussion groups on the Forum does not require any technical assistance of any kind whatsoever, and the Forum’s Administration shall not provide any technical assistance for any use of the Forum, and the Users shall not have any claim and/or demand and/or cause of action regarding thereto.

Applicable Law and Jurisdiction

43.       This present agreement is exclusively regulated by to the laws of the State of Israel.

44.       You hereby agree that in any dispute deriving from the use of this internet site or relating thereto, the Courts of the district of Haifa shall have exclusive jurisdiction, and be the exclusive venue.

Modifications in the Terms of Use of the Forum

45.       The Forum’s Administration reserves its right to modify, at any time and without prior notice, the terms of use of the Forum (hereinafter:  the “Modifications”), and such Modifications shall become effective immediately upon their integration into the Terms of Use of the Forum.

46.       You hereby agree that the Modifications shall apply to you and engage you, immediately upon your first entrance to the Forum, after publication thereof.  Therefore, the Forum’s Administration recommends you to read the updated version of the Terms of Use of the Forum whenever you make use of the Forum.
